Singapore law requires every company to have at least one director who is ordinarily resident in Singapore. If you don't have an eligible local director, we’re required by law to appoint a nominee director to meet this requirement.
At Mezzanine Enterprise, we provide you with a nominee director for at least 1 year (S$3,000/year).
Yes. If you obtain an Employment Pass (EP) and relocate to Singapore or bring on a local business partner who is ordinarily resident in Singapore, you can terminate the nominee service and appoint them as the resident director.
As you need a local resident director to register a company, you must first incorporate using our nominee director service. Once your company is successfully incorporated, it is eligible to sponsor your Employment Pass (EP) application with the Ministry of Manpower (MOM). Upon approval, you can relocate and take over as the resident director.
While the legal minimum paid-up capital to incorporate is S$1, foreigners intending to apply for an Employment Pass should be aware that the Ministry of Manpower (MOM) generally expects a significantly higher paid-up capital (typically S$50,000 or more) to demonstrate the financial viability of the business.
