Step 1. Choose Your Business Structure and Name
Before you can register your company, you need to decide on the type of business entity you want to build and your company's name.
Business structure
For most entrepreneurs in Singapore, the Private Limited Company (Pte Ltd) is the most common and suitable business structure. It is a separate legal entity from its owners, meaning your personal assets are protected from business liabilities. Other structures include sole proprietorships and partnerships, but a Pte Ltd is generally preferred for its scalability and credibility.
Company name
Your company name must be unique and approved by the Accounting and Corporate Regulatory Authority (ACRA). Before settling on a name, conduct a search on BizFile+ to ensure it's not already taken. Once you've chosen an available name, you can reserve it for up to 120 days by paying a small fee.
Step 2. Appoint Key Officers and Prepare Documents
Every Singaporean company is required to have a few key individuals in place and essential documents prepared for registration:
a. Appoint a Resident Director
You must appoint at least one director who is a resident of Singapore. A resident can be a Singapore Citizen, a Permanent Resident, or an EntrePass holder.
b. Appoint a Company Secretary
Within six months of incorporation, you must appoint a qualified company secretary who is also a Singapore resident. The company secretary is responsible for ensuring the company complies with all regulatory requirements.
c. Company Constitution
This document outlines the rules and regulations for the internal management of your company. You can either draft your own or adopt the model constitution provided by ACRA.
Step 3. Register Your Company with ACRA's BizFile+
With your business structure, name, officers, and documents in order, you are now ready for the main event: registering your company with ACRA.
Online Registration
The entire process is done online through BizFile+, using your Singpass to log in and submit your application. If you are a foreigner, you will need to engage a registered filing agent (such as a corporate secretarial firm, law firm, or accounting firm) to submit the application on your behalf.
Provide Required Information
Be prepared to provide details about your company, including your registered office address, your directors' and shareholders' particulars, and share capital information.
Pay the Registration Fee
The standard registration fee for a private limited company is SGD 300.
