Step 1: Hold Your Annual General Meeting (AGM)

Before filing your AR, you must hold an AGM. Unless your company is exempt, an AGM must be held within six months after your Financial Year End (FYE).

During the AGM, you will present your company's financial statements to your shareholders. Private companies can be exempt from holding an AGM if all shareholders agree to waive it.

Step 2: Prepare the Necessary Documents

To file your AR, get the following documents ready:

  • Company details, including name and Unique Entity Number (UEN).

  • The date of your AGM.

  • Up-to-date details of company officers (directors and company secretary).

  • Shareholder information and share structure.

  • The company's registered office address.

  • Financial statements that comply with Singapore Financial Reporting Standards (SFRS), filed in XBRL format.

Step 3: Determine Your Filing Deadline

The deadline for filing your AR with ACRA is within seven months of your company's FYE. Ensure you mark the relevant date on your compliance calendar to avoid late-filing penalties. Step 4: File Your AR via BizFile+

Your AR must be filed electronically via ACRA's online portal, BizFile+.

  1. Log in to the BizFile+ portal using your company's CorpPass.

  2. Navigate to the e-services for "Annual Return Filing."

  3. Fill in the required information accurately. The system will pre-fill some data based on ACRA's records, which you should verify for accuracy.

  4. Attach your financial statements in the required format (e.g., XBRL).

  5. Pay the filing fee.

  6. Upon successful submission, you will receive an acknowledgement.
